This website, moodfood.co (the "Website"), is operated by MOOD COMMERCIAL CORP., a corporation organized under the laws of the Republic of the Philippines, doing business under the trade name MOOD FOOD ("MOOD FOOD," "we," "us," "our").

2. Acceptance and binding effect

By accessing, browsing or using the Website, placing an order, or communicating with us through the Website, you confirm that you have read, understood and agree to be bound by this Legal Notice and by our Terms of Service, Privacy Policy, Return and Refund Policy, Shipping Policy and Purchase Options Cancellation Policy (together, the "Policies"). If you do not agree, you must stop using the Website immediately. Your continued use of the Website is your acceptance.

You are responsible for the acts of anyone who uses the Website through your device, account or order. If you use the Website on behalf of a business, you confirm that you have authority to bind it.

3. Intellectual property

3.1 Ownership. The MOOD FOOD name and logo are registered trademarks of MOOD COMMERCIAL CORP. in the Philippines. All content on the Website and on our official channels, including our product names, taglines, packaging designs, trade dress, recipes, formulations, photos, videos, graphics, text, product descriptions and layout, is owned by or licensed to MOOD COMMERCIAL CORP. and protected by intellectual property laws. © 2026 MOOD COMMERCIAL CORP. 3.2 Limited license. We grant you a limited, revocable, non-exclusive, non-transferable license to view the Website and place orders for your personal, non-commercial use. No other right or license is granted. We may revoke this license at any time.

3.3 Prohibited use. Without our prior written consent, you must not:
a. Copy, reproduce, modify, distribute, publish, sell, or create derivative works from any content of the Website;
b. Use our trademarks, logos, product photos, videos, descriptions or packaging images in any marketplace listing, advertisement, social media page, influencer or affiliate content, comparison, press material or resale;
c. Register or use any business name, domain name, social media handle, store name, or keyword that is identical or confusingly similar to our trademarks, including as an advertising keyword to divert or confuse customers;
d. Imitate our packaging, trade dress or product presentation;
e. Remove or alter any copyright, trademark or ownership notice;
f. Scrape, crawl, harvest or mine the Website by any manual or automated means, or use any part of the Website to train, fine-tune or supply any artificial intelligence or machine learning system or dataset.

3.4 Enforcement. Unauthorized use is infringement. We may seek injunctions, damages, profits, destruction of infringing materials, and criminal and administrative remedies, and may report you to marketplaces, platforms, domain registrars, payment providers and authorities.

4. Authorized channels and resale

Genuine MOOD FOOD products are sold only through the Website, our official stores on online marketplaces, and our authorized retail and delivery partners.

Purchases from the Website are for personal or household consumption. Resale, repackaging, relabeling, bundling with other products, and commercial distribution without our written authorization are prohibited. We may cancel orders, limit quantities, block accounts and refuse service where we reasonably suspect resale or commercial use.

For products bought from any seller other than those listed above, we cannot verify authenticity, storage, handling or expiry. To the extent permitted by law, we are not responsible for those products and may decline to provide refunds, replacements or support for them.

No person may hold themselves out as an official, authorized or affiliated seller of MOOD FOOD without our written authorization.

5. Website use rules

In addition to Section 16 of our Terms of Service, you must not:
a. Interfere with, overload, disable, or bypass the security or functionality of the Website;
b. Access the Website through bots, scripts or other automated means, or probe, scan or test its vulnerabilities;
c. Submit false, fabricated or misleading information;
d. Place fake, test, bulk or abusive orders, or abuse promotions, vouchers, refunds, claims or chargebacks;
e. Impersonate any person or misrepresent your affiliation with MOOD FOOD;
f. Harass, threaten or abuse our staff, partners or other customers; or
g. Use the Website for any unlawful purpose.

6. False statements and brand protection

We welcome truthful reviews and feedback. You must not publish, or cause anyone else to publish, statements about MOOD FOOD, our products, staff or partners that you know, or should reasonably know, are false, misleading, fabricated or defamatory. This includes fake reviews, invented illness or food safety claims, and claims made to obtain refunds, compensation or other advantage.

We may report, dispute and seek removal of such content, preserve evidence, and pursue civil and criminal remedies. Nothing in this Legal Notice prevents you from making truthful statements, filing genuine complaints with government agencies, or exercising your legal rights.

7. Scam and impersonation warning

We communicate only through our official channels and from email addresses ending in @moodfood.co. We will never ask you to send payment to a personal bank or e-wallet account, or to share your OTP or password. If you receive a suspicious message using our name, email help@moodfood.co with the subject line "IMPERSONATION".

8. Monitoring, records and electronic communications

We keep records of Website activity, orders, payments, communications, deliveries, and fulfillment and packing recordings, as described in our Privacy Policy. You agree that these records, and our electronic communications with you, may be used as evidence and, unless shown to be inaccurate, are treated as accurate records of the matters they record.

You consent to doing business and receiving notices electronically. To the extent permitted by law, electronic documents and communications satisfy any requirement that a document or notice be in writing.

We may preserve and disclose records to investigate and enforce the Policies, defend claims, cooperate with authorities, or comply with law.

9. Violations and remedies

If you violate this Legal Notice or any Policy, we may, without prior notice and to the fullest extent permitted by law: suspend or block your access; cancel orders; refuse future orders; cancel unused vouchers and promotional credits; report you to marketplaces, payment providers, banks, couriers and authorities; and pursue any civil, criminal or administrative remedy.

You are liable for all losses, damages, costs, chargeback and payment fees, and reasonable attorney's fees and litigation expenses that we incur because of your violation or breach, to the fullest extent permitted by law. Our remedies are cumulative and not exclusive.

10. Product information and reliance

Product labels and packaging are the authoritative source for ingredients, nutrition information, allergens, storage instructions and expiry dates. Information on the Website is provided for general purposes only and is not medical, dietary or nutritional advice. See Sections 6 and 7 of our Terms of Service.

Statements made by influencers, affiliates, resellers, reviewers, marketplaces or other third parties are their own. They are not our statements, endorsements or warranties, and you must not rely on them over the product label.

11. Disclaimer and limitation of liability

To the fullest extent permitted by law, the Website and its content are provided "as is" and "as available," and we disclaim all warranties, express or implied. To the fullest extent permitted by law, MOOD COMMERCIAL CORP., MOOD FOOD, and our directors, officers, employees, affiliates, contractors and partners are not liable for any indirect, incidental, special, consequential or punitive damages, and our total liability for any claim relating to the Website or a product is limited to the amount you actually paid for the specific order giving rise to the claim. See Sections 18 and 19 of our Terms of Service.

Nothing in this Legal Notice excludes or limits liability that cannot be excluded or limited under Philippine law, including liability for fraud, willful misconduct or gross negligence, or any right you have under applicable consumer protection law.

12. Indemnity

To the fullest extent permitted by law, you agree to indemnify, defend and hold harmless MOOD COMMERCIAL CORP., MOOD FOOD, and our directors, officers, employees, affiliates, contractors and partners from any claim, loss, liability, damage, penalty, cost or expense, including reasonable attorney's fees, arising from your use of the Website, your breach of the Policies, your infringement of any intellectual property right, your unauthorized resale, your false or defamatory statements, your violation of law, or the acts of anyone using your account, device or order. This section survives termination.

13. Third-party links and services

The Website may link to services we do not own or control. We are not responsible for them, and your use of them is at your own risk under their own terms.

14. Notices and disputes

Formal notices to us must be sent in writing to help@moodfood.co with the subject line "LEGAL NOTICE" and a copy by courier to our registered address.

Before filing any complaint or action against us, other than a report to a government agency or a request for urgent injunctive relief, you agree to send us a written notice that describes your claim, your order number and the remedy you want, and to allow us at least thirty (30) calendar days to respond and resolve it.

To the extent permitted by law, you may bring claims only in your individual capacity and not as a plaintiff or member of any class or representative proceeding.

Governing law and venue are set out in Section 26 of our Terms of Service. Nothing in this Legal Notice stops you from contacting or filing a complaint with any government agency.

15. General

This Legal Notice supplements our Terms of Service. If the two conflict, the Terms of Service prevail on liability, refunds and dispute matters, and this Legal Notice prevails on intellectual property, resale and Website use matters.

Our failure to enforce any right is not a waiver. If any provision is found unenforceable, it will be enforced to the maximum extent permitted and the rest of this Legal Notice remains in effect. We may assign our rights to any successor or affiliate; you may not assign yours without our written consent. We may update this Legal Notice at any time by posting the updated version on the Website. Sections that by their nature should survive termination will survive.
